Welcome to Sparch. These Terms of Service ("Terms") govern your access to and use of the Sparch platform, including our website at sparch.ai, mobile applications, and related services (collectively, the "Services") provided by Sparch, Inc. ("Sparch," "we," "us," or "our").

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Services under applicable law
  • Provide accurate and complete registration information

By using our Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong, unique password
  • Enable multi-factor authentication when available
  • Notify us immediately of any unauthorized access or use of your account
  • Not share your account credentials with others

3.3 Account Termination

You may delete your account at any time through your account settings. Upon deletion, your account will be deactivated, and after a 30-day recovery period, all associated data will be permanently deleted. We reserve the right to suspend or terminate your account for violation of these Terms.

4. Description of Services

Sparch provides an agentic browsing platform that enables multi-modal AI interaction through text, image, and audio. Our Services include:

  • Agentic browsing capabilities
  • AI-powered interactions using multiple modalities
  • Payment processing features
  • Integration with third-party financial services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

5. Subscription Plans and Payment

5.1 Subscription Tiers

Sparch offers various subscription tiers with different features and usage limits. Details of available plans, including pricing and features, are available on our website and within the application.

5.2 Billing

Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your designated payment method for all fees associated with your subscription. All payments are processed securely through Stripe.

5.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will not be charged for subsequent billing periods
  • Your account will revert to the free tier after the subscription period ends

5.4 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion in exceptional circumstances. Please contact support@sparch.ai for refund inquiries.

5.5 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services to transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Use automated systems or software to extract data from the Services (scraping)
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to send spam or unsolicited communications
  • Impersonate any person or entity
  • Use the Services for any fraudulent or deceptive purposes
  • Circumvent any usage limits or access restrictions

7. Intellectual Property

7.1 Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof) are owned by Sparch or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes.

7.3 Your Content

You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, royalty-free license to use, store, and process such content solely for the purpose of providing the Services to you.

8. Third-Party Services

Our Services integrate with third-party services, including:

  • Plaid: For financial account connections and identity verification
  • Stripe: For payment processing
  • Firebase: For authentication and data storage

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our privacy practices as described in the Privacy Policy.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Sparch disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any content

You acknowledge that AI-generated content may contain errors or inaccuracies, and you should not rely solely on such content for important decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Services
  • Any damages resulting from unauthorized access to your account

In no event shall our total liability exceed the amount you paid to Sparch in the twelve (12) months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sparch and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your violation of any rights of a third party
  • Any content you submit through the Services

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@sparch.ai. We will attempt to resolve the dispute informally within 60 days.

13.2 Arbitration

If we cannot resolve the dispute informally, any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and held in San Francisco, California, unless otherwise agreed.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms and any dispute arising from your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Sparch regarding your use of the Services and supersede any prior agreements.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
